General Terms and Conditions
1. The Provider and the Service
The Cookieren service available at cookieren.oloren.hu (the "Service") is provided by Oloren Kft. (registered office: 4200 Hajdúszoboszló, Csokonai utca 17.; company registration number: 09-09-026447; tax number: 25049208-2-09; e-mail: info@oloren.hu; the "Provider").
The Service is cookie consent management (CMP) software which provides website operators in particular with the following:
- a cookie banner, consent per category and per service, logging of visitor consents and transmission of Google Consent Mode signals;
- a cookie declaration and a database of third-party services;
- server-side cookie scanning, network request scanning and automatic script blocking;
- regional rules (EU, United Kingdom, Switzerland, United States, Brazil) applied on the basis of the time zone of the visitor's browser, and handling of the Global Privacy Control (GPC) signal;
- a hosted data subject request form, whose submissions are stored by the Service and forwarded by e-mail to the account members designated by the Subscriber;
- versioned configurations (draft and publish);
- statistics by device, browser, operating system, approximate country (derived from the browser time zone, not from the IP address) and language.
2. Customers
The Service is available exclusively to businesses, organisations and sole traders acting in the course of their trade, business or profession (the "Subscriber"). By registering, the Subscriber declares that it is not acting as a consumer. Rules applicable to consumer contracts therefore do not apply.
3. Conclusion and language of the contract
The contract is concluded electronically when the registration is submitted and these Terms are accepted. It does not qualify as a contract in writing and is not filed by the Provider. These Terms are available in Hungarian, English and German, and the contract may be concluded in any of these languages. In the event of any discrepancy between the language versions, the Hungarian version shall prevail. The subscription is concluded per website for an indefinite term and renews monthly.
4. Fees, payment and cancellation
The current fees and the content of the plans are published at cookieren.oloren.hu. One website per account may use the Free plan free of charge for an indefinite period. The paid plans (Basic, Pro, Premium) are available by monthly subscription per website and may be tried once per account for 14 days without a card; if the Subscriber does not subscribe by the end of the trial, the website moves to the Free plan if the account's Free plan is still available, otherwise the banner stops.
Every plan includes a monthly number of pageviews (a pageview is one load of the banner on a page of the website). On the Free plan the banner pauses until the end of the calendar month when the limit is reached. On paid plans the banner keeps working above the limit, and the Provider charges the fee published at cookieren.oloren.hu for every started 1,000 pageviews over the limit together with the next monthly fee. The Provider notifies the Subscriber by e-mail when 80 and 100 percent of the limit are reached.
All fees are net. Subscribers established in Hungary pay in Hungarian forints (HUF), all other Subscribers pay in euros (EUR). Hungarian VAT of 27% is added for Subscribers established in Hungary and for EU Subscribers without a valid VAT identification number. For businesses established in another EU Member State with a valid VAT identification number (checked in VIES), the reverse charge mechanism applies; fees of Subscribers outside the European Union are not subject to Hungarian VAT.
The Subscriber pays the fee monthly in advance by card through the payment service provider Stripe Payments Europe Ltd. After every successful payment the Provider issues an electronic invoice through the Számlázz.hu system and sends it to the billing e-mail address given by the Subscriber; invoices can also be downloaded on the Subscription page. The subscription may be cancelled at any time in the billing portal; in that case the Service remains available until the end of the period already paid for, and no pro rata refund is made. If a payment fails, the Provider may suspend the Service for the website concerned.
The Provider may change the fees by giving at least 30 days' notice by e-mail. The change takes effect from the next billing period. If the Subscriber does not accept the change, it may cancel the subscription before the change takes effect.
Subscriptions are concluded per website: an account may have several websites, each with its own plan. The content of each plan (pageview limit, number of languages, scanning, statistics, export, additional users) is set out on cookieren.oloren.hu and on the Plan tab of the admin interface. The account owner or an administrator may change the billing details in the admin interface at any time; changes apply from the next invoice.
A website is one domain and its subdomains. A website reachable on another domain, including another language version, counts as a separate website with its own subscription. Only a development or test environment that is not used publicly may be added as a test (staging) domain; there the banner is marked TEST and choices are not recorded in the consent log. The Provider may remove a domain that breaches this condition from the website.
The Free plan may be used for websites with up to 50 subpages; the count includes the subpages visited in the last 30 days and those found by the scanner. If a website exceeds this, the Provider notifies the Subscriber by email, and if the Subscriber does not choose a paid plan within 14 days, the banner pauses. On the Free plan the Provider keeps consent log entries for 30 days; longer retention requires a paid plan. The Free plan is not a commitment for any fixed period: the Provider may change or discontinue its content and conditions with at least 30 days' notice by e-mail.
5. Operation and availability of the Service
The Provider provides the Service with professional care and in line with the current state of the art, but does not guarantee uninterrupted or error-free operation. Where possible, the Provider gives advance notice of maintenance. If the Service is unavailable, the banner is not displayed; however, the default state of Google Consent Mode (when the GTM template is used) remains denied.
The banner shows the "Cookieren by Oloren" logo in its top right corner, linking to the Service's website. On the Pro and Premium plans it can be switched off in the settings; hiding or removing it by other means is not permitted. Which banner templates, fonts and icons can be chosen depends on the plan, as described on cookieren.oloren.hu. To prevent abuse and overload, the Provider applies a daily limit per website on recorded decisions and statistics events (Free: 5,000, Basic: 100,000, Pro: 300,000, Premium: 1,000,000 events per day). Above the limit the banner keeps working, but further events of that day are not logged.
The Provider runs the scanner in an environment isolated from its other systems, without access to customer data. A scan can only be started with a confirmed e-mail address.
6. The Subscriber's responsibilities
The Subscriber is responsible for the lawfulness of the processing carried out on its own website, the banner text, the content of the cookie declaration, the correct classification of categories and services, the settings of regional rules and script blocking, ensuring that the tags running on its website operate in accordance with the consent given, and responding to data subject requests in due time. The Service, the scanning, the service database and the suggested classifications are technical assistance and do not constitute legal advice. The Subscriber shall keep its login credentials confidential and is responsible for all actions performed in its account.
The Service must not be used for unlawful purposes, on another person's website without that person's permission, or in a manner that endangers the operation of the Service. In such cases the Provider may suspend or terminate the account.
The account is managed by its owner. From the Basic plan the owner may invite additional users per website (Basic: 2, Pro: 5, Premium: 10, an agency, for example), who can only access that website; the website, the subscription and billing remain with the account. The Provider strongly recommends turning on two-factor authentication, and the interface keeps pointing out when it is off. The Subscriber warrants that it is entitled to use the uploaded logo and the texts it enters and that they do not infringe the rights of third parties, and that it only scans websites it is entitled to operate.
7. Limitation of liability
Except in the case of intentional or grossly negligent breach, and breach causing harm to life, physical integrity or health, the Provider's liability for damage caused by breach of contract is limited to the amount of fees paid by the Subscriber in the 12 months preceding the damage. The Provider is not liable for loss of profit or for fines imposed on the Subscriber by an authority.
8. Data protection
The processing of the Subscriber's account data is governed by the Privacy Notice. The consent data of website visitors and the data submitted via the data subject request form, which the Provider processes on behalf of the Subscriber, are governed by the Data Processing Agreement, which forms an integral part of these Terms.
9. Termination
The Subscriber may delete its account at any time. The Provider may terminate the contract with 30 days' notice, or with immediate effect in the event of a material breach. Upon termination, the Provider deletes the data associated with the account within 30 days, unless a longer retention period is required by law.
10. Amendments, governing law and disputes
The Provider may amend these Terms unilaterally and will notify the Subscriber by e-mail at least 15 days before the amendment takes effect. Continued use of the Service constitutes acceptance of the amendment.
The contract is governed by Hungarian law; matters not regulated in these Terms are governed in particular by Act V of 2013 on the Civil Code and Act CVIII of 2001 on electronic commerce services. The parties shall first seek to settle their disputes by negotiation. Failing that, the court having jurisdiction and competence for the Provider's registered office shall decide.
